**Hluthafafundur Solid Clouds hf. verður haldinn kl. 16:00 miðvikudaginn 1. apríl 2026, í höfuðstöðvum félagsins að Vegmúla 2, 108 Reykjavík, Íslandi.**

Vísað er til tilkynningar sem birt var 24. mars 2026 um samkomulag um fjármögnun með fyrirvara um samþykki hluthafafundar.
 
Meðfylgjandi er fundarboð með dagskrá hluthafafundar og tillögum stjórnar, samþykktum félagsins með auðmerktum breytingum, eintaki af áskriftarsamningi, breytanlegu skuldabréfi, sérfræðiskýrslu KPMG ehf. um sanngirni kjara björgunarfjármögnunar og annarra skjala sem varða hluthafafundinn.
 
Jafnframt er vakin sérstök athygli á að frestur til að lýsa yfir áhuga á þátttöku í björgunarfjármögnun er til klukkan 16:00, mánudaginn 30. mars 2026.
 
Loks er vakin athygli á upplýsingum í fundarboði um fyrirkomulag rafrænnar forskráningar.

**Áhættuþættir**

Ef ekki tekst að ljúka fjármögnun er hætta á að félagið verði ógjaldfært. Fjárfestum er bent á að kynna sér stöðu félagsins vel áður en ákvarðanir eru teknar um kaup eða sölu hlutabréfa.
Félagið mun upplýsa markaðinn um framvindu mála eftir því sem við á.

Electronic participation in the meeting will not be offered, but shareholders will have the opportunity to have an agent attend the shareholders' meeting on their behalf.

## Um útboðið
- Gert er ráð fyrir að útboðið hefist þann 28. júní 2021 og að því ljúki 30. júní 2021.
- Grunnstærð útboðsins er að lágmarki 40.000.000 hlutir í formi nýrra hlutabréfa í Solid Clouds hf. („Solid Clouds“). Heimilt er að stækka grunnstærð útboðsins í allt að - 58.000.000 hluti.
- Verð á hlut í útboðin er 12,5 kr. fyrir hvern hlut. 
- Arion banki er umsjónaraðili útboðsins.
- Áætlað er að niðurstöður útboðsins verði tilkynntar þann 1. júlí 2021.
- Stjórn félagsins áskilur sér einhliða rétt til að ákvarða úthlutun í útboðinu.
- Eindagi fjárfesta á áskriftarloforðum er 6. júlí 2021 fyrir kl. 16:15.
- Afhendingardagur nýrra hluta og fyrsti viðskiptadagur á First North Iceland er áætlaður 12. júlí 2021.
- Einstaklingar með skattalegt heimilisfesti á Íslandi sem taka þátt í áskriftarbók A geta fengið lækkun á tekjuskatts- og/eða fjármagnstekjuskattsstofni um sem nemur 75% af fjárfestri upphæð. Þetta gildir um fjárfestingar á bilinu 300.000 kr. til 15.000.000 kr. á árinu 2021. Viðkomandi þarf að eiga bréfin í 3 árs annars verður afsláttur bakfærður með 15% álagi á söluári bréfanna. ## Frekari upplýsingar um útboðið

Fjárfestum er heimilt að breyta áskrift sem þeir hafa þegar lagt fram í útboðinu á útboðstímabilinu með því að leggja fram annað tilboð eða fella niður tilboð sem þegar hefur verið lagt fram. Allar áskriftir sem hafa ekki verið felldar niður á áskriftartímabilinu eru bindandi fyrir viðkomandi fjárfesti í lok útboðstímabilsins. Útgefandi áskilur sér rétt til að innheimta áskriftir til samræmis við fyrirmæli laga, eða úthluta hlutabréfum áskrifanda sem ekki greiðir á gjalddaga til annarra fjárfesta, án frekari fyrirvara að viðvörunar.

Umsjónaraðili útboðs áskilur sér rétt til að krefjast staðfestingar á greiðslugetu eða tryggingar fyrir greiðslu áskrifta frá áskrifendum. Verði áskrifandi ekki við þessari kröfu umsjónaraðila innan þess frests sem gefinn er, áskilur söluaðili sér rétt til að ógilda áskrift viðkomandi áskrifanda að hluta eða í heild. Umsjónaraðili metur einhliða hvort staðfesting á greiðslugetu eða trygging teljist fullnægjandi. Útgefandi og umsjónaraðili áskilja sér rétt til að hafna áskriftum, án fyrirvara eða aðvörunar. 

Útboðið er eingöngu markaðssett á Íslandi og er þátttaka í áskriftarleið A heimil öllum þeim einstaklingum og lögaðilum sem hafa bæði íslenska kennitölu og eru fjárráða í skilningi lögræðislaga nr. 71/1997, með þeim takmörkunum sem af lögunum kunna að leiða. Þar af leiðir að einstaklingum sem ekki hafa náð 18 ára aldri, sem og þeim einstaklingum sem ekki ráða búi sínu sjálfir, er ekki heimil þátttaka í útboðinu. Þátttaka í áskriftarleið B er háð sömu skilyrðum, auk þess sem lágmarksfjárhæð áskriftar er 15 m.kr.

Minnt er á að hlutabréf eru áhættusöm fjárfesting sem getur byggst á væntingum en ekki loforðum. Áður en tekin er ákvörðun um fjárfestingu í hlutabréfum í Solid Clouds hf. skulu fjárfestar kynna sér alla skilmála útboðsins og upplýsingar um Solid Clouds hf., sem finna má í fjárfestakynningu Solid Clouds hf., sem dagsett er 22. júní 2021, auk annarra gagna, fyrirvara og upplýsinga sem birt eru í tengslum við útboðin og fyrirhugaða skráningu á Nasdaq First North Iceland.


## About the Offering
- The Offer period is expected to begin on 28 June 2021 and to end on 30 June 2021. 
- The minimum base offer will consist of 40,000,000 shares in Solid Clouds hf. („Solid Clouds“). There is a right to increase the base offer up to 58,000,000 shares.
- The Offering price is ISK 12.5 per share.
- Arion Bank is the Manager of the Offering.
- The results of the Offering is expected to be announced on 1 July 2021.
- The Board of Directors has unilateral authority to determine allocation of shares.
- The final due date for the purchase price is on 6 July 2021 before 16:15 p.m.
- The delivery date of the shares and the first day of trading on First North Iceland is expected to be on the 12 July 2021.
- Individuals that are residents in Iceland for tax purposes, and participate in Orderbook A in the Offering, can receive a tax deduction on their income tax and/or their capital tax gains base for up to 75% of their investment for investments between ISK 300,000 to ISK 15,000,000.  The individual must own the shares for a minimum of a three years otherwise the discount will be reversed with a 15% surcharge. In case of a discrepancy between the Icelandic translation and the Company Description, the Company Description text shall prevail.

## Further information on the offering
Investors are entitled to change an order which they have confirmed and delivered on the order form in the Offering during the Offer period, by submitting an additional order or cancelling an order already submitted. All orders that have not been cancelled during the Offer period are binding for the respective investor at the end of the Offer period. The Issuer reserves the right to collect all subscriptions in accordance with law. If an investor does not complete payment by the due date the Manager and the Issuer reserve the right to distribute the shares to other subscriber(s) without further notice or warning.

The Issuer reserves the right to demand evidence of solvency and proof of funds or guarantees for payment of subscriptions from subscribers. If subscriber does not comply, the Issuer may reject the subscription on whole or part. The Issuer, at its sole discretion, assesses and decides if evidence of solvency and proof of funds or guarantee of payment is deemed sufficient. The Issuer reserves the right to reject subscriptions without further notice or warning. 

The Offerings are only marketed in Iceland and Icelandic jurisdiction. Participation in Orderbook A is open to anybody with an Icelandic identification number and who are competent pursuant to Act no 71/1997, or, for legal persons, are registered in the Icelandic register of enterprises. Individuals who are under the age of 18 or do not have autonomy over their finances are not permitted to participate in the offerings. Participation in Orderbook B is subject to the same requirements, with the addition of a minimum subscription of ISK 15 million.
